Flow Translations Terms of Service

By accessing or using our Website or services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use our Website or services.

If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Flow Translations provides professional translation and interpretation services, including:

• Document translation (legal, medical, technical, general)
• On-site and remote interpretation
• Proofreading and editing
• Transcription and localization

We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

3.1 Source Materials

You are solely responsible for the accuracy, completeness, and legality of all source materials you provide. We have no obligation to review source materials for errors, omissions, or appropriateness.

3.2 Right to Provide Materials

You represent and warrant that you have all necessary rights, permissions, and authorizations to provide the source materials to us for translation and to grant us the licenses set forth in these Terms.

3.3 Prohibited Content

We reserve the right to decline to provide services for any source materials that we consider, in our sole discretion, to be offensive, obscene, illegal, or otherwise inappropriate.

4.1 Quotes

Quotes are based on the information you provide and are valid for the period specified in the quote. Quotes are subject to change if the scope of work changes.

4.2 Acceptance

A binding contract exists only after you accept a quote issued by us (an “Accepted Quote”). By accepting a quote, you agree to these Terms and the pricing and scope specified in the quote.

4.3 Payment Terms

Unless otherwise agreed in writing, payment is due upfront for most services. We accept credit cards and other methods specified on our Website. All fees are non-refundable except as expressly provided in these Terms. If a project is cancelled after work has begun, you are responsible for payment for work completed up to the cancellation date.

4.4 Late Payments

If payment is not received by the due date, we may suspend or terminate services until full payment is received. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law.

4.5 Taxes

You are responsible for all taxes, duties, or fees arising out of or in connection with the services, excluding taxes based on our net income.

5.1 Ownership of Source Materials and Deliverables

As between you and us, you retain all ownership rights in your source materials and the final translated deliverables. Our work is performed as “work for hire” to the extent permitted by law, and otherwise we assign all rights in the deliverables to you upon receipt of full payment.

5.2 License to Use Source Materials

To provide services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and translate your source materials solely for the purpose of performing the services.

5.3 Our Intellectual Property

All intellectual property rights in our processes, methodologies, technology, know-how, and tools remain our sole property. Nothing in these Terms transfers any ownership of our intellectual property to you.

We treat all client documents and information as confidential. All interpreters, translators, and proofreaders sign confidentiality agreements before handling client materials. Documents are stored securely and access is limited to personnel necessary to complete assigned projects.

Exceptions: Information that becomes publicly available, was already known to us, is independently developed, or is required to be disclosed by law.

Our SMS program complies with applicable U.S. A2P 10DLC requirements.

7.1 Agreement to Receive Text Messages

By providing your mobile phone number and opting in, you agree to receive recurring SMS messages from Flow Translations related to job opportunities, meeting reminders, service updates, account notifications, and customer support. Consent is not a condition of purchase, service, or employment. Standard message & data rates may apply.

7.2 Opt-In Methods

• Keyword: Send START, OPT-IN, or SUBSCRIBE to Flow Translations (650) 468-2118
• Website form: Check the SMS consent box in your user profile
• Email: Send request to info@flowtranslate.com with subject "SMS START"

7.3 Message Frequency

You can expect up to 5 messages per week, depending on job availability, appointments, and account activity.

7.4 Costs

Flow Translations does not charge for SMS, but your carrier's message and data rates may apply.

7.5 Opt-Out Instructions

Reply STOP, OPT-OUT, or UNSUBSCRIBE to any message, uncheck the box in your profile, or email "SMS STOP" to info@flowtranslate.com. You will receive a confirmation message and no further SMS unless you re-opt in.

7.6 Help

7.7 Information Collected

We collect your phone number, opt-in timestamp, opt-out timestamp (if applicable), and method. This information is used solely to deliver SMS messages and confirm consent/opt-out requests.

7.8 No Third-Party Sharing

We never sell or share your mobile number for marketing. Originator opt-in data is not shared with any third party.

7.9 Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages.

7.10 Participating Carriers

AT&T, T-Mobile, Verizon Wireless, and others.

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the services will meet your specific requirements, be uninterrupted, error-free, secure, or free of inaccuracies. Translation and interpretation inherently involve subjective linguistic judgment. Variations in terminology, phrasing, or style do not constitute defects.

We do not provide legal, medical, financial, or other professional advice. Translations are provided for informational purposes only and should not be relied upon as a substitute for advice from qualified professionals.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOW TRANSLATIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO ANY CLAIM, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM.

The limitations set forth in this Section apply to the fullest extent permitted by law.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.

You acknowledge that the pricing of our services reflects this allocation of risk and limitation of liability.

You agree to indemnify and hold Flow Translations harmless from any claims, liabilities, damages, and expenses (including attorneys' fees) arising out of your source materials, your use of services, your violation of these Terms, or your violation of any third‑party rights.

We may use third-party providers (payment processors, SMS delivery platforms). Their own terms and privacy policies apply; we are not responsible for their actions.

By you: You may stop using our services at any time.

By us: We may suspend or terminate your access immediately without notice if you breach these Terms. Upon termination, all outstanding payments become immediately due. Sections relating to Intellectual Property, Confidentiality, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law & Dispute Resolution, and any other provisions that by their nature should survive, shall survive termination.

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to natural disasters, power outages, internet failures, labor disputes, government actions, public health emergencies, or other events beyond our control.

14.1 Governing Law

These Terms are governed by the laws of the State of California.

14.2 Dispute Resolution

We encourage good‑faith negotiations first. Unresolved disputes shall be submitted to binding arbitration in Santa Clara County, California, under the rules of the American Arbitration Association. Each party shall bear its own attorneys’ fees and costs unless otherwise required by law or determined by the arbitrator. The arbitration shall be conducted by a single arbitrator. Judgment on the award may be entered in any court having jurisdiction. The Federal Arbitration Act shall govern the interpretation and enforcement of this arbitration provision.

14.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in a class action or class arbitration.

We may update these Terms from time to time. The “Effective Date” at the top will reflect the latest version. Your continued use after changes constitutes acceptance. For significant changes, we may notify you by email. These Terms constitute the entire agreement between you and Flow Translations regarding the services and supersede all prior agreements, communications, and understandings.
